TERMS AND CONDITIONS

The present conditions of sale have as their object the purchase of products, through the website www.mip-mould.com, by end users who are 'consumers' (defined by the law as any natural person who purchases the goods for purposes not related to the own commercial or professional activity, or make the purchase without indicating in the order form a reference to VAT number). Any natural person who does not qualify as a "consumer" in these terms should contact us for purchase information at info@mip-mould.com. The www.mip-mould.com site is managed directly by M.I.P srl with its registered office in Castenedolo (BS), via Artigiani, 46 –25014, registered in the Brescia and C.F. 03632750984 VAT number 03632750984

ACCEPTANCE OF THE GENERAL SALES CONDITIONS

1.1 The contract stipulated between M.I.P srl and the Customer shall be considered concluded with the acceptance, even if only partial, of the order by M.I.P srl. This acceptance is considered tacit, unless otherwise communicated to the Customer in any way. This acceptance is lost in the event that the purchaser is different from a "consumer" or regards orders that do not conform to his commercial policy. By placing an order, the Customer declares to have read all the information provided to him during the purchase procedure, and to fully accept the general and payment conditions transcribed below. 1.2 Once the online purchase procedure has been completed, the Customer will print or save an electronic copy and in any case keep these general conditions of sale, in compliance with the provisions of articles. 3 and 4 of Legislative Decree 185/1999 on distance selling. 1.3 Any right of the Customer to compensation for damages or compensation, as well as any contractual or extra-contractual liability for direct or indirect damage to persons and / or things, caused by the non-acceptance, even partial, of an order is excluded.

HOW TO PURCHASE

2.1 The Customer can only purchase products in the electronic catalog of www.mip-mould.com at the time the order is forwarded and can be viewed online at the address (URL) www.mip-mould.com as described in the relevant information sheets. 2.2 Correct receipt of the order is confirmed by info@mip-mould.com through an answer by e-mail, sent to the e-mail address communicated by the Customer. This confirmation message will contain date and time of order processing and a "Customer Order Number", to be used in any further communication with www.mip-mould.com. The message re-proposes all the data entered by the Customer who undertakes to verify its correctness and to promptly communicate any corrections, according to the methods described in this document. 2.3 In case of non-acceptance of the order, M.I.P srl guarantees prompt communication to the Customer.

TERMS OF PAYMENT

3.1 Purchases via Paypal: Purchasing the goods with PayPal payment method, together with the conclusion of the online transaction, PayPal will immediately charge the amount of the purchase made. 3.2 In case of cancellation of the order, both by the Customer and in the case of rejection of the same by M.I.P srl, together with the cancellation, the amount relating to the canceled goods will be credited back to the customer's Paypal account. The crediting times on the payment instrument chosen within the Paypal account depend exclusively on PayPal and the banking system. Once the amount has been credited back to the Paypal account, in no case M.I.P srl can be held responsible for any damages, direct or indirect, caused by delays in the actual crediting of Paypal or the banking system. 3.3 M.I.P srl reserves the right to request additional information from the Customer (eg fixed telephone number) to determine the effective ownership of the PayPal account. In the absence of the required documentation, M.I.P srl reserves the right to refuse the order. 3.4 At no time during the purchase process M.I.P srl is able to know the information relating to the buyer's credit card or the financial information of the PayPal account. In no case can M.I.P srl be held responsible for any fraudulent or improper use of credit cards by third parties, when paying for products purchased on www.mip-mould.com. 3.5 Payment by credit card: The cards accepted by Paypal are: MasterCard, Maestro, Visa, Visa Electron, American Express, Aura, Discover. 3.6 M.I.P srl reserves the right to request additional information from the Customer to determine the actual ownership of the credit card. In the absence of the required documentation, M.I.P srl reserves the right to refuse the order. 3.7 At no time during the purchase process MIP srl is able to know the information relating to the buyer's credit card. Under no circumstances can MIP srl be held responsible for any fraudulent or improper use of credit cards by third parties , upon payment of products purchased on www.mip-mould.com.

DELIVERY METHODS AND COSTS

4.1 M.I.P srl can accept orders for delivery in Italian territory, EU countries and non-EU countries. Shipping costs are fixed based on the country and the product purchased.4.2 The cancellation of the order is possible until it is processed. 4.3 For every order placed on www.mip-mould.com, M.I.P srl issues a fiscal document of the material shipped if requested at the moment to placed the order, sending it via e-mail to the holder of the order, pursuant to art. 14 D.P.R. 445/2000. For the issue of the tax document, the information provided by the Customer at the time of the order is binding. No change in the tax document will be possible after the issuance thereof. 4.4 The shipping costs to be paid by the customer, where foreseen, are clearly stated in the execution of the order. The payment of the goods by the Customer will be made using Paypal or Credit Card. 4.5 The delivery of the package can be monitored using the tracking number which can be viewed in your account, in the order history section. No responsibility can be attributed to M.I.P srl in the event of delay in the execution of the order or in the delivery of the order. 4.6 Upon delivery of the goods by the courier, the Customer is required to:

- check that the number of packages delivered corresponds to what is indicated on the courier delivery proof

- check that the packaging is intact, not damaged, neither wet nor altered, even in the closing materials (adhesive tape or metal straps)

- sign the proof of delivery of the courier with a written control reserve specifying the reason for the reservation (Example of specific control reserve to be written next to your signature: "Subject to control of dented box cause").

Once the proof of delivery of the courier has been signed without reservation of written control specifying the reason for the reserve, the customer will not be able to dispute in any way any damage to the contents of the boxes and will not be able to use the insurance coverage against theft and damage. The only way to be able to contest any hidden damage that can be discovered only after opening the package and then starting the reimbursement or replacement procedures is to sign the courier's delivery test subject to control by personally writing the reason for the reserve, also on the electronic terminal used by the courier upon delivery (example: dented, signature). Any problems concerning the physical integrity, correspondence or completeness of the products received must be reported within 3 calendar days of delivery, in accordance with the procedures set forth in this document. The delivery of the ordered goods is intended at street level unless: different communication of our customer service as provided in the technical data sheet of the product or if there is the explicit purchase of the delivery to the floor, where required. 4.7 In the event of non-collection within 5 working days of the material in storage at the courier's warehouses due to repeated inability to deliver to the address indicated by the Customer at the time of ordering, the ordered will be returned to the warehouses of M.I.P srl.

RIGHT OF WITHDRAWAL

5.1 According to the art. 52 of the Consumer Code, if the Customer is a consumer (ie a natural person who purchases the goods for purposes not related to his professional activity, or does not make the purchase by indicating on the order form to www.mip-mould.com with reference of VAT number), has the right to terminate the purchase contract for any reason, without need to provide explanations and without any penalty, except as indicated in the following point 5.3. 5.2 To exercise this right, the customer must send a communication to www.mip-mould.com to this effect, within 14 days from the date of receipt of the goods. The customer must inform M.I.P srl of its decision to use the right of withdrawal by sending an explicit declaration by registered mail to: M.I.P srl. - Via artigiani 48, CAP - 25014, Castemedolo (BS). The burden of proof relating to the exercise of the right of withdrawal in accordance with the art. 54 of the Consumer Code is incumbent on the consumer. Once we have received the aforementioned withdrawal notice, MIP srl will quickly inform the customer via e-mail of the instructions on how to return, assigning a unique DR code to return the goods, which must be sent to MIP srl within 2 days from authorization by courier or registered mail. The goods must be returned intact, unused, complete with all its parts and in the original packaging (envelopes and packaging), in compliance with the conditions of 5.3.

5.3 The right of withdrawal is in any case subject to the following conditions:

- the right applies to the product purchased in its entirety; it is not possible to exercise withdrawal only on part of the product purchased;

- the purchased good must be intact and returned in its original packaging, complete in all its parts (including packaging and any documentation and accessory equipment); to limit damage to the original packaging, we recommend inserting it in a second box, on which to affix the label supplied by M.I.P srl, bearing the DR number (return authorization code); in all cases, the placing of labels or adhesive tapes directly on the original product packaging should be avoided;

ATTENTION: The staff of M.I.P srl is not authorized to collect goods on which the DR number is not indicated. By law, the shipping costs for returning the goods are charged to the customer; furthermore, the delivery costs to the customer and any other additional costs highlighted at the time the order is made will not be reimbursed; the shipment, up to the certificate of receipt in our warehouse, is under the complete responsibility of the customer; in the event of damage to the goods during transport, www.mip-mould.com will notify the customer of the incident (within 5 working days from receipt of the goods in its warehouses), to enable it to file a timely complaint against the courier chosen by him and obtain reimbursement of the value of the asset (if insured); in this case, the product will be made available to the customer for its return, simultaneously canceling the request for withdrawal. M.I.P srl is not responsible in any way for damage or theft / loss of goods returned by uninsured shipments; on arrival at the warehouse, the product will be examined to assess any damage or tampering not caused by transport. If the original packaging and / or packaging is damaged, M.I.P srl will deduct from the refund due a percentage, in any case not exceeding 10% of it, as a contribution to the costs of restoration. 5.4 Without prejudice to any repair costs for damage to the original packaging, MIP srl will reimburse the customer the amount already paid for the purchase of the goods, within 30 days of his return, by transferring the amount by Paypal via email address or by bank transfer. In the latter case it will be the customer's responsibility to promptly provide the bank details on which to obtain reimbursement (IBAN Code and Bank of the invoice holder). 5.5 The right of withdrawal is lost for lack of the essential condition of integrity of the goods (packaging and / or its content), in cases where M.I.P srl ascertains:

- even partial use of the good and any consumables;

- the lack of external packaging and / or original internal packaging;

- the absence of integral elements of the product (accessories, cables, manuals, parts, ...);

- damage to the product for reasons other than transportation.

In case of forfeiture of the right of withdrawal, the Customer will not be entitled to a refund of the amount paid and will only have the right to have the returned goods returned to you, at your own risk and at your own expense.

GUARANTEES

6.1 All products sold by www.mip-mould.com are covered by the 24-month warranty for lack of conformity, pursuant to Legislative Decree 206/05. To use the warranty, the 24 months will start from the order execution date. 6.2 The 24-month warranty pursuant to Legislative Decree 206/05 applies to products that present a lack of conformity, provided that the product itself is used correctly, respecting its intended use and as provided in the attached technical documentation. This guarantee is reserved for the private consumer (a natural person who buys the goods for purposes not related to his professional activity, or makes the purchase without indicating a reference to the VAT number in the order form). In the event of a lack of conformity, M.I.P srl will, at no cost to the customer, restore product conformity by repair / replacement or price reduction, until the contract is terminated. 6.3 In the event that, for any reason, it is unable to provide its customer with a product under warranty (restored or replaced), MIP srl may at its discretion return the amount paid taking into account the use of the asset or to its replacement with a product of equal or superior characteristics. 6.4 The customer must inform M.I.P srl of its decision to make use of warranty assistance by sending an explicit declaration by registered mail to: M.I.P srl. - Via Artigiani 46, CAP - 25014, Castenedolo (BS). The goods must be returned by the Customer in the original packaging, complete in all its parts (including packaging and any documentation and accessory equipment: manuals, cables, etc.); to limit damage to the original packaging, we recommend inserting it in a second box; in all cases, the affixing of labels or adhesive tapes directly to the original product packaging should be avoided. The customer will be provided by email with a return authorization number (RMA) that must be indicated outside the packaging, following the instructions provided directly in the relevant authorization e-mail.

ATTENTION: The personnel of www.mip-mould.com is not authorized to collect goods whose packaging does not include the RMA number.

M.I.P srl once received the product and verified the defectiveness of the same, will send an e-mail confirming the acceptance of the warranty assistance and will start the procedure described above.

Without prejudice to the aforementioned guarantee, M.I.P srl excludes any and all liability (contractual or non-contractual) towards the Customer, within the limits of the applicable mandatory regulations.

PRIVACY

7.1 The personal data requested at the time the order is forwarded is collected and processed in order to satisfy the express requests of the Customer and will in no case and in no way be transferred to third parties. M.I.P srl guarantees its customers compliance with the legislation on the processing of personal data, based on provisions of multiple legislations, including Art. 13/14 of Regulation (EU) 2016/679 (General Data Protection Regulation).

APPLICABLE LAW AND DISPUTE RESOLUTION

9.1 The sales contract between the Customer and M.I.P srl is concluded in Italy and regulated by Italian law. In particular, the legislative decree n. 206 of 2005 on the consumer code Chapter I ‘Consumer rights in contracts’ with specific reference to the legislation on distance contracts, of the legislative decree n. 185 of 1999 and of Legislative Decree No. 70 of 2003 on the part concerning electronic commerce. For the solution of civil and criminal disputes deriving from the conclusion of this distance selling contract, in all cases the territorial jurisdiction is that of the Court of Brescia.
